The Contract
– An independent contractor relationship will be established between you and Vermajisolution, with no partnership or joint venture intended or implied.
– The commencement date of services will be agreed upon by both parties, and charges will be applicable accordingly.
– Monthly performance reports will be provided to you.
– Either party may not cancel or transfer service responsibilities to another vendor without providing a minimum of 10 business days’ notice.
– Vermajisolution reserves the right to subcontract third-party service providers for certain tasks.

Payment
– For monthly service packages, clients must pay the full amount prior to commencement of work.
– For services with a fixed quote, 50% of the billable amount is due in advance, with the remaining 50% payable within 7 days of the service start date.
– Invoicing will be done monthly in advance.
– Failure to pay invoices on time will result in immediate termination of services without a 10-day notice.

Liability
– Vermajisolution is not liable for indirect or consequential losses due to delays in service deliverables caused by natural or uncontrollable events.
– You agree to defend, cover, and hold Vermajisolution harmless from any claims, losses, liabilities, and expenses related to the services, including claims by third parties.
– Content provided by you for publication may be accessible to the public immediately upon publication, and Vermajisolution is not responsible for screening such material or any resulting damages.

Waiver
– Failure to enforce any obligations under the terms and conditions does not waive those obligations.
– Any waiver of terms and conditions is valid only if communicated in writing.

Privacy Rights
– Information provided by you will be kept confidential and will not be disclosed to third parties without your consent, except to Vermajisolution employees.
– We take reasonable precautions to protect your personal information, but we cannot guarantee complete security over the internet.
– SSL encryption is used for online transactions.
– Cookies may be used to gather statistical data about your browsing patterns for site optimization, but they do not provide access to personal information.

Modification
– Vermajisolution reserves the right to modify these terms and conditions at any time, with changes communicated to clients via email.
